Welcome to JustRegisterIt. These Terms and Conditions ("Terms") govern your use of our website and services. By using our platform, creating an account, or initiating a business registration, you explicitly agree to be bound by these Terms.

1. Nature of Our Services

JustRegisterIt provides an administrative facilitation service designed to streamline the business registration process with the Registrar General's Department (RGD) of the Republic of Ghana.

  • Facilitation Only: We are not a law firm and do not provide legal, tax, accounting, or professional advisory services. Any information provided through the platform is for administrative convenience only and should not be relied upon as professional advice.
  • Estimates Only: Processing timelines displayed on the platform are estimates only and are subject to change based on Registrar General's Department processing times and other external factors beyond our control.
  • Platform Availability: We do not guarantee that the platform will be uninterrupted, secure, or error-free at all times.

2. Electronic Consent & Communications

By clicking "I Agree," checking a declaration box, or providing a digital signature during the application flow, you provide your express electronic consent to be bound by these Terms and to receive all communications from JustRegisterIt electronically.

You acknowledge that your electronic actions constitute the legal equivalent of a physical signature under the laws of the Republic of Ghana and agree that electronic records maintained by JustRegisterIt shall be admissible as evidence of such consent.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. JustRegisterIt shall not be liable for any loss arising from unauthorized account access resulting from user negligence or credential sharing.

4. User Obligations & Data Accuracy

To ensure a successful registration, you agree to:

  • Provide Accurate Information: You represent that all details provided (including Business Name, Address, Stated Capital, and Director/Shareholder details) are true and legally correct.
  • Identity Verification: You must provide clear, valid, and unexpired Ghana Card uploads. Blurry, cropped, or expired documents will result in processing delays or application rejection.
  • Authorized Signatures: You certify that all digital signatures provided are explicitly authorized by the respective directors, shareholders, or sole proprietor.

5. AML & KYC Compliance

JustRegisterIt operates in strict accordance with the Anti-Money Laundering and Counter-Terrorist Financing laws of Ghana. To prevent financial crimes and corporate fraud, we reserve the right to:

  • Request Enhanced Due Diligence: We may require additional documentation beyond the standard Ghana Card for high-risk applications.
  • Report Suspicious Activity: We are legally obligated to report any suspected fraudulent activity, "fronting," or attempts to provide false identity information to the relevant authorities.
  • Refuse Service: Applications that fail our internal Know Your Customer (KYC) checks will be terminated immediately, and the Service Fee may be deemed non-refundable.

6. Fees and Payment Structure

We maintain a transparent fee structure consisting of two parts:

  • Service Fee: This is the fee for using the JustRegisterIt platform (e.g., Basic, Standard, or Premium processing tiers).
  • Statutory Government Fees: These include official RGD processing fees, Certified True Copy (CTC) charges, and the legally mandated 1% Capital Duty for Companies Limited by Shares (LLC).

Payment Requirement: All fees must be paid in full in Ghana Cedis (GHS) via our authorized payment gateways before any official filing commences.

7. Refund and Cancellation Policy

  • Service Fees: Our service fee is refundable only if the document review process has not commenced, as determined strictly by JustRegisterIt's internal system logs, which shall be final and conclusive.
  • Statutory Fees: Once funds have been committed to the RGD or the filing process has been initiated, statutory government fees are strictly non-refundable.
  • Name Rejections: If a business name is rejected by the RGD due to similarity to an existing business, we will allow one (1) re-filing under a new name at no additional service cost; however, the RGD may require new statutory fees.

8. Bulk Filing Terms (Corporate Clients)

For corporate clients, legal professionals, or agents submitting five (5) or more registrations ("Bulk Filings"), the following additional terms apply:

  • Data Accuracy Warranty: The corporate client warrants that they have obtained explicit consent and independently verified the identity of all individuals included in the bulk submission.
  • Consolidated Billing: We may offer consolidated invoicing for bulk filings, provided that all statutory fees are paid upfront before any RGD submission occurs.

9. Intellectual Property

All content, features, and functionality on the JustRegisterIt platform, including but not limited to the proprietary registration flow, UI/UX design, backend database structures, and source code, are the exclusive property of JustRegisterIt.

Users are granted a limited, non-transferable license to access the platform for the sole purpose of business registration; any reproduction, modification, or distribution of our proprietary systems is strictly prohibited.

10. Limitation of Liability

  • Government Decisions: JustRegisterIt is not liable for the RGD's decision to reject an application, query a filing, or for any delays caused by government processing times.
  • Indirect Damages: We are not liable for any loss of business, profit, contracts, or anticipated savings resulting from a delayed or rejected registration.
  • Total Liability: In any event, our maximum aggregate liability to you is strictly limited to the amount of the Service Fee paid to us for the specific transaction in dispute.

11. Force Majeure

JustRegisterIt shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to acts of government, system failures or portal downtime of the Registrar General's Department, internet outages, power grid failures, strikes, or natural disasters.

12. Data Protection & Document Retention

JustRegisterIt complies with the requirements of the Data Protection Commission of Ghana. In compliance with the Data Protection Act 2012 (Act 843):

  • Document Handling: We store your Ghana Card images and sensitive personal data only for the duration necessary to complete the registration process. All personal data is encrypted in transit and at rest using industry-standard security protocols.
  • Third-Party Disclosure: Data is only shared with official government bodies (such as the RGD) as required to legally complete your business registration.

13. Termination of Service

We reserve the right to suspend or terminate an application, and the Service Fee may be deemed non-refundable, if:

  • We suspect fraudulent activity.
  • The provided ID documents appear forged, altered, or invalid.
  • The user fails to respond to requests for additional information or necessary corrections within thirty (30) calendar days.

14. Modification of Terms

JustRegisterIt reserves the right to modify or update these Terms at any time. Updated versions will be posted on our website with a revised "Last Updated" date. Continued use of the platform after such changes constitutes explicit acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Accra, Ghana.
